Terms and Conditions

1- Scope of Application

1.1 These General Terms and Conditions (GTC) of Sanganni (hereinafter referred to as “the Seller”) apply to all contracts for the delivery of goods concluded between a consumer or a business (hereinafter “the Customer”) and the Seller concerning goods displayed in the Seller’s online shop. Any terms of the Customer that conflict with or deviate from these GTC are hereby rejected, unless expressly agreed otherwise.
1.2 A consumer, within the meaning of these GTC, is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.
1.3 A business, within the meaning of these GTC, is any natural or legal person or a legally capable partnership acting in the exercise of its trade or independent professional activity when concluding a legal transaction.

2- Conclusion of the Contract

2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers but serve to enable the Customer to submit a binding offer to purchase.
2.2 The Customer may submit the offer using the online order form integrated into the Seller’s shop. After placing the selected items in the virtual shopping cart and completing the electronic order process, the Customer submits a legally binding offer by clicking the button that concludes the ordering process.
2.3 The Seller may accept the Customer’s offer within five days:
by sending the Customer a written order confirmation or confirmation in text form (e-mail), with receipt of the confirmation being decisive;

or by delivering the ordered goods, with receipt of the goods by the Customer being decisive;

or by requesting payment from the Customer after order submission.

The contract is concluded when one of these alternatives occurs first. The acceptance period begins on the day after the Customer sends the offer and ends at the close of the fifth day thereafter. If the Seller does not accept the offer within this period, the offer is deemed rejected, and the Customer is no longer bound by it.
2.4 If the Customer selects a payment method offered by PayPal, the transaction is processed via PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg, under PayPal’s Terms of Use available on their website. When paying with a PayPal method during checkout, the Seller hereby accepts the Customer’s offer at the moment the Customer clicks the button concluding the order process.
2.5 After contract conclusion, the Seller stores the contract text and sends it to the Customer in text form (e.g. e-mail, fax, or letter). The Seller does not make the contract text otherwise accessible. If the Customer has created a user account prior to placing the order, the order details are stored on the Seller’s website and can be accessed at any time through the Customer’s password-protected account.
2.6 Before submitting the binding order, the Customer can identify and correct possible input errors by carefully reading the information displayed on the screen. A useful technical tool for this may be the browser’s zoom function. Entries can be corrected using the usual keyboard and mouse functions until the Customer clicks the button concluding the order.
2.7 The contract language is German only.
2.8 Order processing and communication generally take place via e-mail and automated systems. The Customer must ensure that the provided e-mail address is correct and capable of receiving messages from the Seller (e.g. not blocked by spam filters).

3- Right of Withdrawal

3.1 Consumers generally have a right of withdrawal.
3.2 Detailed information regarding the right of withdrawal can be found in the Seller’s withdrawal policy.
3.3 The right of withdrawal does not apply to consumers who, at the time of contract conclusion, are not residents of a Member State of the European Union and whose sole place of residence and delivery address are located outside the European Union.

4- Prices and Payment Terms

4.1 Unless otherwise stated in the product description, all prices shown are total prices including statutory VAT. Any additional delivery or shipping costs are specified separately in the respective product description.
4.2 For deliveries to countries outside the European Union, additional costs may arise that are beyond the Seller’s control and must be borne by the Customer (e.g., transfer fees, currency exchange charges, customs duties, or import taxes). Such costs may also apply to payments made from non-EU countries, even if delivery occurs within the EU.
4.3 The available payment methods are indicated in the Seller’s online shop.
4.4 If advance payment by bank transfer is agreed, payment is due immediately after conclusion of the contract, unless a later due date has been agreed.
4.5 When the Customer selects a PayPal payment method, payment is processed by PayPal, which may use third-party payment services. If the Seller offers payment methods involving pre-financing (such as purchase on account or instalments), the Seller assigns the payment claim to PayPal or to a payment provider designated by PayPal.
Before accepting this assignment, PayPal or the payment provider performs a credit check. In case of a negative result, the Seller reserves the right to refuse the selected payment method.
If the payment method is approved, the Customer must pay the invoice amount within the agreed payment period directly to PayPal (or the designated provider). The Seller remains responsible for general customer inquiries, including delivery, returns, complaints, or refunds.
4.6 When selecting credit card payment via Stripe, the invoice amount becomes due immediately upon conclusion of the contract. Payment is processed by Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland. Stripe reserves the right to perform a credit check and may reject this payment method in the event of a negative result.

5- Delivery and Shipping Conditions

5.1 Goods are delivered to the delivery address specified by the Customer, unless otherwise agreed. In the case of PayPal payments, the delivery address stored with PayPal at the time of payment is binding.
5.2 If delivery fails for reasons attributable to the Customer (e.g., incorrect address, failure to receive goods), the Customer bears the reasonable additional costs incurred by the Seller. This does not apply to the initial shipping costs if the Customer validly exercises their right of withdrawal.
5.3 If the Customer is a business, the risk of accidental loss or deterioration of the goods passes to the Customer as soon as the goods are handed over to the carrier.
If the Customer is a consumer, the risk passes only upon receipt of the goods, unless the Customer has commissioned a carrier not designated by the Seller.
5.4 The Seller reserves the right to withdraw from the contract in case of incorrect or delayed self-supply, provided that the Seller is not responsible and has concluded a covering transaction with due care. In the event of total or partial unavailability of the goods, the Customer will be informed immediately and any payment refunded without delay.
5.5 Collection of orders is only possible at the partner shop.

6- Retention of Title

If the Seller delivers goods in advance of payment, the ownership of the goods remains with the Seller until full payment of the purchase price has been made.

7- Liability for Defects (Warranty)

7.1 In the event of defective goods, the statutory provisions of legal warranty shall apply.
7.2 If the Customer is a consumer, they are requested to report any goods with obvious transport damage to the delivery service and inform the Seller accordingly. Failure to do so has no impact on the Customer’s statutory or contractual warranty rights.

8 – Redemption of Promotional Vouchers

8.1 Vouchers issued free of charge by the Seller within the framework of promotional campaigns, for a specified period of validity, and which cannot be purchased by the Customer (hereinafter referred to as “promotional vouchers”), can only be redeemed in the Seller’s online shop and only during the specified period.
8.2 Certain products may be excluded from the voucher promotion if indicated in the content of the promotional voucher.
8.3 Promotional vouchers can only be redeemed before completing the order process. Subsequent offsetting is not possible.
8.4 Only one promotional voucher may be redeemed per order.
8.5 The value of the goods must be at least equal to the value of the promotional voucher. Any remaining balance will not be refunded by the Seller.
8.6 If the value of the promotional voucher does not cover the total amount of the order, the Customer may pay the difference using another available payment method.
8.7 The credit balance of a promotional voucher is neither paid out in cash nor subject to interest.
8.8 The promotional voucher will not be refunded if the Customer returns goods purchased wholly or partly with the voucher under their statutory right of withdrawal.
8.9 Promotional vouchers are personal and non-transferable. The Seller is entitled, but not obliged, to verify the rightful ownership of the voucher holder.

9- Applicable Law

9.1 All legal relationships between the parties are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
For consumers, this choice of law applies only insofar as it does not deprive them of protection granted by mandatory legal provisions of the country in which they habitually reside.
9.2 This choice of law does not apply with respect to the statutory right of withdrawal for consumers who, at the time of contract conclusion, are not residents of a Member State of the European Union and whose sole place of residence and delivery address are located outside the European Union.

10- Alternative Dispute Resolution

The European Commission provides an Online Dispute Resolution (ODR) platform, which serves as a point of contact for the out-of-court resolution of disputes concerning contractual obligations arising from online purchase agreements.
